These Terms of Use ("Terms") govern your use of the CoinDials apps for iPhone and Apple Watch (the "App") and the website coindials.com, provided by HORSX Holdings LLC, 75 E 3rd St, Ste 7, Sheridan, WY 82801, United States ("we", "us"). The App is licensed to you under Apple's Licensed Application End User License Agreement (the "Apple EULA"). These Terms supplement the Apple EULA; if they conflict, the Apple EULA prevails. By downloading or using the App, you agree to both.

1. Eligibility

You must be old enough to enter a binding contract where you live, or use the App with the permission of a parent or guardian. The App is not directed at children under 13.

2. Your licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App on Apple devices you own or control, as permitted by the Apple EULA and the App Store's Usage Rules. We and our licensors keep all rights not expressly granted.

3. CoinDials Pro and billing

• Free. Three faces (Aurora, Terminal and Pulse) are free, with no time limit.
• Pro Lifetime is a one-time, non-consumable purchase that unlocks all current and future faces. The US price is $39.99.
• Pro Yearly is an auto-renewing subscription that unlocks all faces for one year at a time. The US price is $19.99 per year.
• The App and the App Store show the exact price in your local currency, including any applicable taxes, before you confirm. Payment is charged to your Apple Account at confirmation.
• A subscription renews automatically at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the period ends. If we raise the price, Apple will notify you, and where required ask for your consent, before the new price applies.
• You can manage or cancel a subscription at any time in Settings › [your name] › Subscriptions. Cancelling stops future renewals; Pro remains active until the end of the paid period.
• Faces you've already added to your watch keep working after a subscription ends. Editing and adding Pro faces requires an active Pro purchase.
• Restore a purchase on a new device in CoinDials › Settings › Restore purchases, using the same Apple Account.
• All payments, refunds and billing disputes are handled by Apple under its terms. Request a refund at reportaproblem.apple.com. Nothing in these Terms limits any refund or withdrawal rights you have under consumer law.

4. Market data, not advice

Prices, changes and charts in the App come from third-party market-data providers, currently CoinGecko. They may be delayed, incomplete or inaccurate, and watchOS controls how often watch faces refresh (usually every 15 to 30 minutes). Nothing in the App or on this website is investment, financial, tax or legal advice, or an offer or recommendation to buy or sell any asset. Always confirm prices with your exchange or broker before making decisions. CoinDials never asks for wallet keys, seed phrases or exchange logins; anyone who does is not us.

5. Watch faces and artwork

Our faces combine Apple's watch faces with our complications and original artwork. The artwork, face designs, names and software are owned by HORSX Holdings LLC or its licensors and are protected by copyright and other laws. You may use them on your own devices and share faces with friends through Apple's face-sharing features. You may not sell, redistribute or publish them as your own.

6. Third-party services

The App relies on services we don't control, including Apple (App Store, WeatherKit, Health and watchOS) and CoinGecko (market data). Their availability and terms are their own. We're not responsible for outages or changes on their side, but we'll do our best to keep CoinDials working well.

7. Acceptable use

Don't reverse-engineer, decompile or modify the App except where the law allows; don't access or use our price server other than through the App; don't interfere with, overload or attempt to break our services; and don't use the App for any unlawful purpose.

8. Trademarks

CoinDials and its logo are trademarks of HORSX Holdings LLC. Coin names and logos belong to their respective owners and are shown only to identify coins; their use does not imply endorsement. Apple, Apple Watch and watchOS are trademarks of Apple Inc. CoinDials is not affiliated with or endorsed by Apple, CoinGecko or any coin project.

9. Changes and availability

We continually improve CoinDials and may add, change or retire features, faces, coins or data sources. We'll give reasonable notice of changes that materially reduce what Pro includes. We may suspend access if these Terms are seriously breached.

10. Disclaimers

To the extent permitted by law, the App and website are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't warrant that the App will be uninterrupted or error-free, or that prices will be current or accurate.

11. Limitation of liability

To the extent permitted by law, HORSX Holdings LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, trading losses or losses arising from reliance on price data. Our total liability for any claim relating to the App is limited to the amount you paid for the App in the 12 months before the claim, or US$50 if greater. Some jurisdictions don't allow these limitations, so they may not apply to you; your statutory rights as a consumer are not affected.

12. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before filing any claim, please contact us at legal@coindials.com so we can try to resolve it informally within 30 days. Any dispute that isn't resolved will be heard in the state or federal courts located in Wyoming, unless the law of your country of residence gives you the right to bring proceedings in your local courts.

13. Apple

These Terms are between you and HORSX Holdings LLC, not Apple. Apple is not responsible for the App or its content, has no obligation to provide maintenance or support, and is not responsible for any product claims, intellectual-property claims or legal-compliance claims relating to the App. If the App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, the Apple EULA and our Privacy Policy are the entire agreement between you and us about the App. We may update these Terms; the date above shows the latest version, material changes will be noted in the App's release notes, and continued use after changes take effect means you accept them.
